Turn a lump sum into a cadence of cash flow.
Cadence Capital Management operates a private, income-oriented fund for investors who want their capital to produce a steady rhythm — not sit still. It is a private placement involving significant risk and limited liquidity, offered only to verified accredited investors.
A large sum of money should do a job.
After a business sale, a liquidity event, or decades of disciplined saving, many people are left holding a number that feels heavy — too important to risk carelessly, too large to leave idle. Cadence exists to convert that lump sum into a predictable cadence of cash flow — income arriving on a rhythm — through a disciplined, income-oriented strategy. It is not a place to chase quick gains, and it is not without risk.
Three places to look next.
The approach
How the fund pursues income, the framework it works within, and how it thinks about risk — at a high level.

There is no guarantee of any return, income, or distribution; distributions may be reduced, deferred, or suspended. The interests are not bank deposits, are not FDIC-insured, and are not bonds. Past results of any prior strategy or accounts do not predict the fund's future results. This website is a high-level summary and is qualified in its entirety by the confidential offering memorandum.

Cadence Capital Management is the manager of a private, income-oriented fund organized as a Delaware series limited liability company. The firm was built around a single idea: that a substantial pool of capital should produce a steady, intelligible rhythm of income — and that the risks involved in pursuing it should be stated plainly, not buried.
The firm is newly formed and does not yet have an operating history. Its approach, economics, fees, conflicts of interest, and complete risk disclosures are described in a confidential offering memorandum, which is provided to verified accredited investors upon request.
The people behind Cadence.
Richard Ehrlich
Richard Ehrlich leads Cadence's investment sourcing and portfolio strategy — the selection and structuring of the income-oriented positions the fund pursues. He is the founder of Secure Wealth Planning Group in Boca Raton, Florida, where his practice has centered on retirement income and structured-note strategies: the same discipline at the heart of Cadence.
Draft — Richard to confirm before publishing: exact role/title wording; professional designations to display; education; whether to reference Secure Wealth Planning Group (given the strategy overlap, counsel should review). Must verify for a securities page: investment-adviser / RIA registration status via FINRA BrokerCheck & SEC IAPD, and any prior-firm references — counsel to approve.Co-Founder
Cadence's co-founder leading operations and investor relationships — from onboarding and communications to the day-to-day running of the fund. His broader career spans mergers-and-acquisitions advisory and commercial banking.
Draft — name withheld for now (placeholder "Co-Founder"). To confirm before publishing: name; exact current titles; whether to reference any current outside executive role on the fund site, since naming it may imply an association; education and any designations to display; and career-history specifics.Note. The firm relies significantly on its principals; the loss of a key person could materially affect the fund. This and other risks — including the firm's lack of operating history — are described in full in the confidential offering memorandum.
Income-oriented, disciplined, and transparent about risk.
The fund invests primarily in income-oriented structured notes issued by large financial institutions, held within a defined, risk-managed framework. The objective is current income delivered on a regular rhythm — a cadence — rather than speculative growth.
The complete strategy — including its mechanics, economics, fees, liquidity terms, conflicts of interest, and the full set of risk factors — is described in the confidential offering memorandum, provided to verified accredited investors upon request. The summary below is intentionally high-level.
The income question: which risk are you choosing?
Every income allocation is really a decision about which risk you're willing to take — credit risk, duration risk, or liquidity risk. Investors often face two familiar levers: reach for yield in vehicles that are hard to exit, or stay conservative and watch inflation erode real returns over time.
A structured-note strategy is a third, distinct approach. Rather than only choosing among existing instruments, it shapes the payoff itself — the coupon, the barrier level, the reference assets, and the term are defined at the outset. Those are real design choices — but each one is a trade-off, not a way around trade-offs: a higher potential coupon means more risk, and a downside barrier is conditional protection that can fail, not a guarantee.
That's the case for treating a structured-note allocation as its own bucket. It is not a replacement for core fixed income or private credit, and it is not lower-risk than either. It is a distinct, higher-risk income tool with a different profile — one an investor might hold alongside those categories, not instead of them.
| Core fixed income | Private credit | Structured-note strategy | |
|---|---|---|---|
| Income source | Coupon / interest from bonds | Interest from private loans | Contingent coupons linked to reference assets |
| Income certainty | Relatively predictable | Relatively predictable | Contingent — may pay, be reduced, or be deferred |
| Primary risks | Interest-rate & duration risk; credit risk | Borrower default; illiquidity | Equity/market risk; barrier breach; "worst-of"; issuer credit risk |
| Principal | Generally returned at maturity (subject to default) | At risk if borrowers default | At risk; can be lost if barriers break |
| Liquidity | Generally liquid | Illiquid, often multi-year | Illiquid at the fund level; limited quarterly withdrawals |
Illustrative and general. Categories vary widely by manager and instrument; this is not investment advice or a recommendation. A structured-note strategy is higher-risk and illiquid — see the risk factors and the offering memorandum.

How the fund is built — and how investors are paid.
This page explains the fund's structure in plain terms: what it invests in, and the order in which cash is paid out. It is intentionally conceptual. The specific figures — the preferred-return rate, the management fee, the profit split, and the minimum investment — are set out in the confidential offering memorandum.
Draft note: figures below are shown as pending counsel approval for public display. Whether specific rates may appear on a public page is a decision for the fund's securities counsel; until confirmed, they live in the memorandum, shared after verification.
Income-oriented structured notes.
The fund invests primarily in contingent-coupon structured notes issued by large financial institutions. In plain terms, these are notes that pay a periodic coupon so long as a basket of reference assets stays above defined levels. They are built to generate income — but that income is contingent, and it is compensation for taking on real investment risk.
The payout waterfall.
Cash the fund generates is distributed in a defined order — a "waterfall." Investors are paid before the manager shares in any profits. Conceptually, it works in this sequence:
Preferred return to investors, first
Investors receive a preferred return before the manager participates in any profit. Rate: pending counsel approval for public display. Critically, the preferred return is a priority, not a guarantee — it is paid only if the fund has the cash to pay it, and it can be reduced, deferred, or suspended.
Management fee to the manager
Cadence Capital Management receives a management fee for operating the fund. Rate: pending counsel approval for public display.
Shared profits above the preferred return
Profit beyond the preferred return is split between investors and the manager. Split: pending counsel approval for public display. This is how the manager — including Richard Ehrlich and the fund's co-founder — participates in the fund's success.
The manager shares in the upside — after investors do.
The structure is designed so the manager is rewarded primarily when investors do well: the manager participates in profits only after investors have received their preferred return. That alignment is a feature, not a guarantee of outcomes.
At the same time, the manager's compensation is itself a conflict of interest — the manager benefits from raising and deploying capital, and calculates the fund's value. These and all related conflicts are disclosed in full in the offering memorandum. We name them here rather than leave them unsaid.
Important. Structured notes can lose value and principal. There is no guarantee of any coupon, return, or distribution. The summaries above are conceptual and are qualified in their entirety by the confidential offering memorandum, which contains the complete terms, figures, and risk factors. Interests are not bank deposits, are not FDIC-insured, and are not bonds.

Request accessThree kinds of investor, one shared need.
The fund is designed for those who hold significant capital, can bear investment risk and illiquidity, and want that capital to produce a dependable rhythm of income rather than sit idle.
The individual
Someone holding a significant lump sum who wants it to produce income — without turning retirement into a second job managing a portfolio.
The advisor
An RIA or financial advisor seeking an income-oriented allocation for accredited clients — with the risks disclosed plainly, not buried.
The family office
An allocator who needs to understand exactly how a strategy behaves — where it fits in a portfolio, and how it's managed under stress.
The same truth, in three registers.
A lump sum should produce a rhythm — a predictable cadence of cash — instead of just sitting there. That is the problem Cadence is built around, whoever is asking.

Important legal information.
Private placement
Interests in the fund are offered only to verified accredited investors (and eligible non-U.S. persons) through a confidential private placement memorandum, pursuant to Rule 506(c) of Regulation D under the Securities Act of 1933, as amended, and other available exemptions. Nothing on this website is an offer to sell or a solicitation of an offer to buy any security, and no offer or sale will be made in any jurisdiction in which it would be unlawful.
Risk and no guarantee
An investment in the fund involves a high degree of risk, including the possible loss of the entire amount invested, and is illiquid. There is no guarantee of any return, income, or distribution, and distributions may be reduced, deferred, or suspended. Interests are not bank deposits, are not insured by the FDIC or any other agency, and are not bonds. Past performance — including the results of any prior strategy, account, or principal — does not predict the fund's future results.
The memorandum controls
Any offer is made solely by the confidential offering memorandum and its exhibits, which contain important disclosures regarding the fund's strategy, economics, fees, conflicts of interest, and liquidity limitations. This website is a high-level summary, does not purport to be complete, and is qualified in its entirety by that memorandum. In the event of any inconsistency, the memorandum governs.
